DESCRIPTION OF THE SWEEPSTAKES: This sweepstakes (the "Sweepstakes") will accept entries from August 1st, 2011 through August 30th, 2011 ("Sweepstakes Period"). A total of one (1) prize will be awarded. Limit of two (2) entries per person during the Sweepstakes Period (one for Facebook and one for Twitter). Odds of winning shall depend on the number of eligible entries received during the Sweepstakes Period.

SPONSOR: The Sweepstakes is being sponsored and administered by The Active Network, Inc., 10182 Telesis Court, San Diego, CA 92121 ("Sponsor”).

ELIGIBILITY: The Sweepstakes is open to legal residents of the United States and Washington, D.C. who are at least 18 years of age or older at time of entry and the age of majority in entrant’s state of residence as of the date of entry to this Sweepstakes, except any individuals (including but not limited to employees, consultants, independent contractors and interns) who have, within the past 6 months from the start of the Sweepstakes, held employment with or performed services for The Active Network, Inc., or a subsidiary, affiliate or successor company of The Active Network, Inc. (as applicable), and immediate family members or members of the same households (parents, step-parents, legal guardians, children, step-children, siblings, step-siblings, or spouses, whether related or not) of such persons at any time during the Sweepstakes.

AGREEMENT TO OFFICIAL RULES: Participation in the Sweepstakes constitutes entrant’s full and unconditional agreement to and acceptance of these Official Rules. Winning a prize is contingent upon fulfilling, as determined by the Sponsor, all requirements set forth herein.

One entry per person for each Facebook and Twitter page, for a total of two (2) entries per person. In the event Active determines that an individual has used more than one account from the same social media site, said individual shall be immediately disqualified from this Sweepstakes and shall forfeit any right to receive the prize under these Official Rules.

Drawing Date: The Drawing Date is August 31st, 2011.

WINNER SELECTION/NOTIFICATION: The Drawing will be conducted from all eligible entries. The potential prize winner will be contacted via email and/or certified mail within five (5) business days of the Drawing. The potential prize winner will be subject to final verification by Sponsor. The Sponsor’s decision with respect to the prize winner and other matters pertaining to the Sweepstakes shall be final.

Prize winner will be required to provide proof of age and eligibility, within ten (10) days of receipt of prize notification. If a potential winner is unable to be contacted or if a winner fails to complete and return all requested information by the specified date or if a winner fails to comply with any of the requirements, his/her prize will be forfeited and an alternate winner shall be selected. By entering into the Contest, all entrants consent to the use of their name, photograph, likeness, biography, voice and/or video for advertising and promotional purposes, including online and on-air announcements, worldwide and without limitation and without additional compensation, except where prohibited by law. The odds of winning a prize depend upon the number of eligible entries received. The prize will be awarded.

If, in the exclusive judgment of the Sponsor, this promotion becomes compromised in any way, Sponsor reserves the right to withdraw the Sweepstakes offer, cancel any method of entry, to void any entries submitted fraudulently or select the winner from all eligible entries received prior to any act that compromised the Sweepstakes. Any attempt to deliberately damage the operation of this Sweepstakes is unlawful and subject to legal action by the Sponsor or Sponsor’s respective agents. Sponsor reserves the right to verify eligibility qualifications of the winner and to disqualify any individual they find acting in violation of the Official Rules. ANY ATTEMPT BY AN ENTRANT OR ANY OTHER INDIVIDUAL TO UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES AND OTHER REMEDIES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW. All applicable federal, state and local laws and regulations apply. Void where prohibited by law.

DISCLAIMER OF WARRANTIES. THE SWEEPSTAKES AND PRIZES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT.

BINDING ARBITRATION. The parties waive all rights to trial in any action or proceeding instituted in connection with these Official Rules and/or this Sweepstakes. Any controversy or claim arising out of or relating to these Official Rules and/or this Sweepstakes shall be settled by binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association. Any such controversy or claim shall be arbitrated on an individual basis, and shall not be consolidated in any arbitration with any claim or controversy of any other party. The arbitration shall be conducted in the State of California, in the County of San Diego and judgment on the arbitration award may be entered into any court having jurisdiction thereof.

GOVERNING LAW. These Official Rules shall be governed by the laws of the State of California without regard to conflict of law provisions contained therein. Any matters or proceedings which are not subject to arbitration as set forth in Section 10 of these Official Rules and/or for entering any judgment on an arbitration award, shall take place in the State of California, County of San Diego.

WINNERS LIST: To request a winners list send a stamped, self-addressed #10 envelope to: Active Network, Communities Social Media Sweepstakes, c/o The Active Network, Inc., 10182 Telesis Court, Dept. 1107, San Diego, CA 92121 by September 30th, 2011.

ELIGIBILITY: In addition to US residents as set forth above, The Active Network, Communities Social Media Sweepstakes (“Sweepstakes”) is only open to individuals who:

1. are residents of Canada (except residents of the Province of Quebec); and
2. are of the age of majority or older in the province or territory of their residence at the time of entry,

except for employees, officers, directors, agents and representatives of The Active Network, Inc. (“Sponsor”) and its affiliates (including without limitation its parent, sister and subsidiary companies, partnerships and other commercial entities), its advertising and promotion agencies and any other person directly connected with the production and distribution of or the supply of goods or services in connection with the Sweepstakes (collectively, with the Sponsor, hereinafter referred to as the “Released Parties”) and their respective immediate families (mother, father, sister, brother, child, husband or wife, and their respective spouses, regardless of where they reside), and those living in the same household of any such individuals, whether or not legally related.

TO ENTER: Between August 1st, 2011 at 8:00am PST and August 30th at 8:00am PST (“Promotion Period”), eligible individuals may enter the Sweepstakes without having to purchase anything. In order to enter, during the Promotion Period, ‘Like’ Active Network, Communities on our Facebook page ( http://www.facebook.com/ActiveNetworkCommunities) or follow us on Twitter (@activecommunity). One entry per person for each Facebook and Twitter page, for a total of two (2) entries per person.

Online access and an email account are required in order to participate in the Sweepstakes. Many public libraries, retail businesses and others offer free access to computers and a number of Internet service providers and other companies offer free email accounts.

There is a limit of one (1) entry per individual for each Facebook and Twitter profile regardless as to the method of entry. Additional entries received from any individual beyond the first entry received from that individual will be void. Entries generated by script, macro or other automated means and entries by any means which, in the opinion of the Sponsor, are intended to subvert the entry process will be void.

PRIZE: The prize is one (1) 16GB Apple iPad® 2, with wi-fi (black). The approximate retail value of the prize is $499(USD). iPad is the exclusive trademark of Apple, Inc. This contest is in no way sponsored, endorsed or administered by, or associated with, Apple Inc.

The winner will be solely responsible for all applicable federal, provincial, territorial and local taxes associated with the acceptance and use of any awarded prize.

4. ENTRANTS’ AGREEMENT: The submission or attempted submission of an entry for the Sweepstakes constitutes the entrant’s full and unconditional agreement to these Official Rules and to any decisions made by the Sponsor, all decisions of which pertaining to the Sweepstakes shall be final and binding without any right of appeal. Winning a prize is contingent upon entrant fulfilling all the requirements of and all terms and conditions provided in the Official Rules.

All entries and any Request for Information and Waiver document provided to the Sponsor become the property of the Sponsor and will not be returned.

DRAWING, ODDS AND SKILL TESTING QUESTION: A drawing to determine the potential winner(s) of the Sweepstakes will be held on August 31st, 2011 at 10am PST. All eligible entries received by the Sponsor during the Promotion Period will participate in that drawing. The drawing will be conducted from a container filled with names for each entry and will be held at 6400 Roberts St – Suite 160, Burnaby, BC Canada V5G 4C9.

Odds of winning will depend on the total number of valid entries received during the Promotion Period. An entrant whose entry is drawn must correctly answer a mathematical skill-testing question in order to be eligible to be awarded a prize.

NOTIFICATION: The potential winner will be notified, at the Sponsor’s sole option, by means of email, direct message on Twitter/Facebook, or telephone. No winning notification messages will be left on any voicemail or answering machine.

VERIFICATION OF THE POTENTIAL WINNER: An entrant whose entry is drawn is not considered a winner of any prize unless and until the entrant’s eligibility has been verified by the Sponsor, the required mathematical skill-testing question has been correctly answered to the satisfaction of the Sponsor and the entrant has been notified that verification has been completed. In this connection, the potential winner will be required to execute and return a Request for Information and Waiver form, including providing the correct answer to the mathematical skill-testing question posed in the form, within ten (10) days of the date that such form is sent by the Sponsor to the potential winner. Non-compliance with the foregoing or with any of these Official Rules, the return to the Sponsor of the prize notification or the Request for Information and Waiver form as non-deliverable or the Sponsor’s inability to contact the potential winner within one (1) month of its first attempt to notify will, at the Sponsor’s sole option, result in disqualification of the potential winner and, at the Sponsor’s sole option, an alternate winner being selected by another draw.

In the event of a dispute over the identity of a potential winner, the entry will be declared made by the authorized account holder of the e-mail address submitted at the time of entry, and the potential winner may be required to provide identification sufficient to show that he/she is the authorized account holder of such e-mail address. “Authorized account holder” is defined as the person assigned to an e-mail address by an Internet access provider, online service provider or other organization responsible for assigning email addresses for the domain associated with the email address in question. Proof of sending or submission will not be deemed to be proof of receipt by the Sponsor.

LIMITATIONS OF LIABILITY AND RELEASE: The Released Parties are not responsible or liable for:

1. any incorrect or inaccurate information, whether caused by entrants, non-authorized human intervention, printing errors or by any of the equipment or programming associated with or utilized in the Sweepstakes;
2. technical failures of any kind including, but not limited to, malfunctions, interruptions, or disconnections in phone lines, network hardware or software, cable, satellite, cellular tower, or Internet service provider;
3. bugs, viruses, worms, unauthorized human intervention in any part of the entry process or the Sweepstakes or any other causes which impair the fairness, integrity or administration of the Sweepstakes (in such event, the Sponsor reserves the right, at its sole option, to modify, terminate or suspend the Sweepstakes);
4. typographical, printing, network, mechanical, electronic, technical, human or other errors or malfunctions of any kind relating to or in connection with the Sweepstakes including, without limitation, errors or problems which may occur in the administration of the Sweepstakes, the processing of entries, the announcement of the prizes or other errors in these Official Rules or in any other Sweepstakes-related materials;
5. any liability, loss, injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant’s participation in the Sweepstakes or receipt or use or misuse of any prize; or
6. lost, incomplete, late, misdirected, garbled, undelivered, incomplete, stolen, or mutilated transactions, subscriptions or entries; or garbled, lost, misrouted or scrambled transmissions. (If for any reason an entrant’s entry is confirmed to have been erroneously deleted, lost, or otherwise destroyed or corrupted, entrant’s sole remedy is another entry in the Sweepstakes.)

Each entrant agrees to release, discharge, and forever hold harmless the Released Parties and their shareholders from any and all claims, actions, damages, demands, manner of actions, causes of action, suits, debts, duties, accounts, bonds, covenants, warranties, indemnities, claims over, contracts and liabilities of whatever nature or kind arising out of, or in connection with, the entrant’s participation or attempted participation in the Sweepstakes, compliance or non-compliance with these Official Rules and the acceptance and use of the prize and, if selected as a potential winner, to sign and deliver the Request for Information and Waiver form before receiving his/her prize.

Each entrant acknowledges that the Sponsor shall not be required under any circumstances to award more prizes than the number of available prizes as set out in these Official Rules.

CAUTION: Any attempt by any person(s) to damage any website or undermine the legitimate operation of this Sweepstakes is a violation of criminal and civil laws and, should such an attempt be made, the Sponsor reserves the right to seek damages and/or other remedies (including attorneys’ fees) from any such person(s) responsible for the attempt to the fullest extent permitted by law.

DISPUTES: Except where prohibited by law, entrants agree that:

1. any and all disputes, claims and causes of action arising out of or connected with this Sweepstakes or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the Courts of the Province of British Columbia;
2. any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering the Sweepstakes, and in no event shall any entrant be entitled to obtain attorneys’ fees or other legal costs;
3. under no circumstances will entrants be permitted to obtain awards for, and entrants hereby waive, to the extent permitted by applicable law, all rights to claim indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased; and
4. all issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrants and the Sweepstakes Organizers in connection with the Sweepstakes, shall be governed by, and construed in accordance with the laws of the Province of British Columbia, without giving effect to any choice of law or conflict of law rules (whether of the Province of British Columbia or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the Province of British Columbia.

TRADEMARKS: Unless noted otherwise, all trademarks used herein are the property of the Sponsor.

All winners’ list requests must be received prior to September 30, 2011. Unless otherwise expressly provided in these Official Rules, no communications or correspondence in relation to the Sweepstakes will be exchanged with entrants except for an entrant whose name has been selected in the draw.

GENERAL: No substitutions, transfers or cash redemptions of any prize are permitted, except by the Sponsor which reserves the right, at its sole option, to substitute the identified prize for a prize of comparable or greater value.

Entrants agree that the Sponsor and its designees shall have the right and permission to broadcast, publish and otherwise use the winner’s name, address of residence, statements regarding the Sweepstakes, image, voice and/or likeness for advertising, promotional and/or any other purpose in any and all media now or hereafter devised worldwide in perpetuity without additional compensation, notification or permission, unless prohibited by law.

This Sweepstakes and all entries are subject to all applicable federal, provincial, territorial and local laws and regulations. Void where prohibited by law.

PERSONAL INFORMATION: Unless the entrant has otherwise authorized the Sponsor or another entity related to the Sponsor to contact him or her, the personal information gathered about entrants in connection with the Sweepstakes will be used solely for the administration of the Sweepstakes and is subject to the Sponsor’s privacy policy (available at http://www.activenetwork.com/information/privacy-policy.htm), and no communication unrelated to the Sweepstakes, commercial or otherwise, will be sent to the entrant by the Sponsor.
